1. Acceptance of Terms
These Terms of Service ("Terms") are a binding legal agreement between you and BookCollar LLC ("BookCollar," "we," "our," or "us") and govern your access to and use of BookCollar websites, applications, APIs, communication tools, booking tools, payment tools, and related services (collectively, the "Platform").
By accessing or using the Platform, creating an account, browsing listings, posting a listing, applying to become a provider, requesting a booking, accepting a booking, paying for a booking, sending messages, submitting content, leaving reviews, or otherwise using the Platform, you agree to be bound by these Terms and all policies incorporated by reference.
If you do not agree to these Terms, you may not access or use the Platform.
If you use the Platform on behalf of a company, business, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you individually and the entity you represent.

The following policies are incorporated into these Terms by reference and form part of your agreement with BookCollar:

9. Any additional rules, disclosures, or terms shown during signup, provider onboarding, listing creation, booking, checkout, cancellation, refund, messaging, or other Platform workflows
If there is a conflict between these Terms and another BookCollar policy, the more specific policy will generally control for the specific issue it addresses, unless otherwise stated.
3. Marketplace Role
BookCollar provides an online marketplace platform that allows customers and independent third-party service providers to discover, communicate, book, and transact for in-person services.
BookCollar is not the provider of the services listed on the Platform unless BookCollar expressly states otherwise in a separate written agreement.
When a customer books a service through the Platform, the service relationship is between the customer and the provider. BookCollar is not a party to the actual performance of the service, except to the extent BookCollar provides the Platform, processes or facilitates payments, applies Platform policies, supports communication, or administers Platform operations.
BookCollar does not control or direct how providers perform their services. Providers are responsible for determining how to perform their services, subject to applicable law, the provider's own professional obligations, the listing description, and applicable BookCollar policies.
BookCollar does not guarantee:
- The quality of any provider's services
- The outcome of any service
- A provider's availability
- A provider's suitability for a customer's needs
- That a provider will meet a customer's expectations
- That a customer or provider will complete a booking
- That a provider's services will be error-free, safe, or uninterrupted
BookCollar may review provider applications, provider listings, provider licenses, provider credentials, insurance documents, or other information submitted through the Platform. However, unless expressly stated otherwise in writing, BookCollar's review does not create a guarantee, warranty, endorsement, employment relationship, agency relationship, partnership, or joint venture.
4. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Platform.
By using the Platform, you represent that:
- You are legally able to enter into a binding contract
- You will comply with these Terms
- You will comply with applicable laws
- You are not prohibited from using the Platform under applicable law
- The information you provide to BookCollar is accurate and complete
BookCollar may deny, restrict, suspend, or terminate access to the Platform if BookCollar believes there are eligibility, identity, fraud, safety, legal, compliance, or policy concerns.
5. User Accounts
You may need to create an account to access certain Platform features.
You agree to:
- Provide accurate, current, and complete information
- Keep your account information updated
- Keep your login credentials secure
- Not share your account with others
- Not create false, misleading, duplicate, or unauthorized accounts
- Not impersonate any person or entity
- Promptly notify BookCollar of unauthorized account access or suspected security issues
You are responsible for activity that occurs through your account, except to the extent caused by BookCollar's own failure to comply with applicable law.
BookCollar may require identity verification, email verification, phone verification, payment verification, provider verification, license review, or other checks before allowing access to certain features.
6. Customers
Customers are users who browse, request, book, purchase, receive, review, or otherwise interact with services offered by providers through the Platform.
Customers are responsible for:
- Reviewing listing descriptions before booking
- Confirming service details before booking
- Providing accurate booking information
- Providing accurate service location information, if applicable
- Communicating in a timely and respectful manner
- Paying all amounts due
- Following cancellation, refund, and reschedule rules
- Providing a safe and lawful environment for in-person services
- Complying with these Terms and all applicable policies
Customers understand that providers are independent third parties and are not employees, agents, partners, franchisees, or representatives of BookCollar.
7. Providers
Providers are users who apply to offer, list, advertise, book, or perform services through the Platform.
Providers are subject to these Terms and to the Provider Terms. If there is a conflict between these Terms and the Provider Terms regarding provider obligations, the Provider Terms will control for provider-specific obligations.
Providers are responsible for:
- The services they offer
- The accuracy of their listings
- The performance of their services
- Their tools, supplies, equipment, transportation, and business expenses
- Their own licenses, permits, certifications, registrations, and legal qualifications
- Their own insurance, if required by law, Platform policy, or their service category
- Their own taxes and tax reporting
- Their own compliance with applicable law
- Their own customer service related to the services they perform
- Their own professional judgment and service methods
Providers are not employees, agents, partners, joint venturers, franchisees, or legal representatives of BookCollar.
8. Provider Application, Approval, and License Review
Providers are not automatically approved to offer services on the Platform.
A person or business that wants to become a provider may be required to apply through the Platform, complete provider onboarding, accept the Provider Terms, provide required information, and submit any licenses, permits, certifications, registrations, insurance documents, or other credentials required for the services they wish to offer.
BookCollar may review provider applications and submitted documents before allowing a provider to publish listings, accept bookings, receive payouts, or continue using provider features.
For regulated service categories, BookCollar may require providers to upload proof of licensing, certification, registration, permitting, or insurance. BookCollar may review submitted information to determine whether it appears valid based on the information available to BookCollar.
Providers remain solely responsible for maintaining all required licenses, permits, certifications, registrations, insurance, and legal qualifications. BookCollar's review of submitted documents does not relieve providers of their legal obligations.
If a provider's required license, permit, certification, registration, or insurance expires, becomes invalid, is suspended, is revoked, cannot be verified, or is otherwise insufficient, BookCollar may pause, suspend, restrict, or remove the provider's account, listings, booking ability, payout ability, or other Platform access until the provider provides updated proof that satisfies BookCollar's requirements.
BookCollar may also cancel, restrict, or take other action regarding affected bookings if a provider's legal authority to perform a service is in question.
9. Listings
Providers must create truthful, accurate, complete, and non-misleading listings.
Listings must accurately describe:
- The service being offered
- Pricing
- Add-ons or extra charges
- Service location or travel limitations
- Provider availability
- Customer requirements
- Service limitations
- Required licenses, if applicable
- Required preparation by the customer
- Cancellation or reschedule limitations, if applicable
Providers may not post listings for illegal, unsafe, deceptive, prohibited, or unauthorized services.
BookCollar may remove, hide, edit visibility, restrict, or require changes to listings if BookCollar believes the listing is inaccurate, misleading, unsafe, unlawful, prohibited, infringing, noncompliant, or otherwise harmful to the Platform or its users.
10. Bookings
A booking is created when a customer requests or confirms a service through the Platform according to the applicable booking workflow.
Booking status may depend on Platform functionality, provider confirmation, customer payment, provider availability, cancellation rules, and other applicable policies.
Customers and providers are responsible for reviewing all booking details before confirming a booking, including:
- Service description
- Date and time
- Location
- Price
- Fees
- Taxes, if applicable
- Cancellation rules
- Refund rules
- Reschedule rules
- Provider requirements
- Customer requirements
BookCollar may cancel, restrict, or modify booking availability if BookCollar believes it is reasonably necessary for safety, fraud prevention, legal compliance, policy enforcement, payment processing, provider licensing issues, or Platform operations.
11. Payments, Fees, and Payment Processing
Payments made through the Platform are processed by third-party payment processors, including Stripe or other payment partners.
By making or receiving payments through the Platform, you agree to comply with the terms, conditions, and requirements of BookCollar's payment processors.
BookCollar may charge:
- Platform fees
- Service fees
- Booking fees
- Processing-related fees
- Cancellation fees
- No-show fees
- Other fees disclosed during the applicable workflow
All fees should be disclosed before payment is completed, unless otherwise permitted by law.
Customers authorize BookCollar and its payment processors to charge the payment method provided for bookings, fees, taxes, cancellation charges, no-show charges, or other amounts authorized through the Platform.
Providers authorize BookCollar and its payment processors to deduct or offset amounts related to platform fees, refunds, chargebacks, disputes, failed payments, negative balances, or other amounts permitted under the Provider Terms.
12. Taxes
Users are responsible for understanding and satisfying their own tax obligations unless BookCollar is legally required to collect, remit, or report taxes.
Providers are responsible for their own income taxes, self-employment taxes, business taxes, deductions, licenses, registrations, and tax reporting obligations.
BookCollar may collect and remit taxes where required by law, including sales tax, marketplace facilitator taxes, or similar taxes, if applicable.
Taxes may vary by location, service type, fee type, provider status, customer status, and applicable law.
BookCollar may provide tax forms, transaction records, or payment reporting where required by law or payment processor rules.
13. Cancellations, Refunds, Reschedules, and No-Shows
Cancellations, refunds, reschedules, late cancellations, provider cancellations, customer no-shows, provider no-shows, emergency exceptions, weather exceptions, and related payment consequences are governed by the Booking, Cancellation, Refund, and Reschedule Policy and any rules shown during the booking or cancellation workflow.
Customers should review the applicable cancellation and refund rules before booking.
Providers should review the applicable cancellation, refund, payout, and chargeback rules before accepting bookings.
Refund timing may depend on the payment processor, card network, bank, financial institution, or payment method used.
BookCollar may apply policy exceptions where required by law, required by payment processor rules, necessary for safety, necessary for fraud prevention, or appropriate based on documented circumstances.
BookCollar may request records, messages, photos, receipts, timestamps, or other information to evaluate booking disputes, cancellation disputes, refund requests, or chargebacks.
BookCollar's decision to issue a refund, partial refund, credit, cancellation fee, or other adjustment does not create an obligation to do so in other cases.
14. Chargebacks and Payment Disputes
If a customer initiates a chargeback, payment reversal, bank dispute, or similar payment dispute, BookCollar may investigate the transaction and provide relevant records to the payment processor, bank, or card network.
Customers and providers agree to cooperate in good faith with payment dispute investigations.
Providers may be responsible for chargebacks, refunds, fees, penalties, or losses caused by the provider's conduct, including failure to perform a service, inaccurate listings, late cancellations, no-shows, policy violations, fraud, or failure to provide documentation.
BookCollar may delay, hold, offset, reverse, or deduct provider payouts as permitted by the Provider Terms, payment processor rules, or applicable law.
15. Messaging and Communications
The Platform may allow customers and providers to communicate through messaging, email, SMS, notifications, or other communication tools.
Platform messaging should be used for booking-related communication, service coordination, customer support, dispute review, safety reporting, and Platform-related purposes.
Users may not misuse messaging tools to:
- Harass, threaten, abuse, or discriminate
- Send spam
- Send illegal or harmful content
- Circumvent payment or booking rules
- Move transactions off-platform where prohibited
- Send malware or phishing attempts
- Collect information for unauthorized purposes
- Misrepresent identity or affiliation
BookCollar may access, review, preserve, or disclose messages and communications where reasonably necessary for support, safety, fraud prevention, dispute resolution, policy enforcement, legal compliance, or Platform operations, subject to the Privacy Policy.
By using the Platform, you consent to receive electronic communications from BookCollar, including transactional messages, account notices, booking notices, payment notices, safety notices, policy updates, security alerts, and administrative messages.
Marketing communications, if any, will be handled according to applicable law and any consent or opt-out rights provided by BookCollar.
16. User Content
User content may include profile information, business information, listings, descriptions, photos, videos, logos, messages, reviews, ratings, comments, dispute submissions, and other materials submitted through the Platform.
You retain ownership of content you submit, subject to the license granted to BookCollar in these Terms.
By submitting content to the Platform, you grant BookCollar a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, adapt for technical purposes, create derivative works for Platform operation, use, and otherwise process your content as reasonably necessary to:
- Operate the Platform
- Display listings and profiles
- Process bookings
- Provide customer support
- Investigate disputes
- Enforce policies
- Improve the Platform
- Promote BookCollar or provider listings, where permitted by law and applicable policy
- Comply with legal obligations
You represent that:
- You own or have rights to submit the content
- The content is accurate and not misleading
- The content does not violate another person's rights
- The content does not violate law
- The content does not violate these Terms or other BookCollar policies
BookCollar may remove, restrict, or refuse to display content that BookCollar believes is unlawful, infringing, misleading, harmful, unsafe, offensive, fraudulent, policy-violating, or otherwise inappropriate for the Platform.
17. Reviews and Ratings
Customers may be allowed to leave reviews or ratings for providers after bookings.
Reviews must be honest, accurate, based on real experiences, and submitted in good faith.
Users may not:
- Post fake reviews
- Post reviews for services they did not receive
- Post reviews for their own listings
- Pay for reviews without proper disclosure
- Offer incentives for positive reviews without proper disclosure
- Threaten negative reviews to obtain discounts, refunds, or special treatment
- Manipulate ratings
- Coordinate review abuse
- Post defamatory, harassing, discriminatory, illegal, or private information
BookCollar may remove, restrict, or moderate reviews that violate Platform policy or applicable law.
BookCollar does not guarantee that all reviews are accurate, complete, current, or representative of a provider's future performance.
18. Copyright and Intellectual Property
BookCollar owns or licenses the Platform, including its software, design, branding, logos, trademarks, layout, features, workflows, text, graphics, and other Platform materials, excluding user content.
You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, misuse, or exploit the Platform except as permitted by these Terms.
If you believe content on the Platform infringes your copyright or intellectual property rights, you may submit a notice according to the Copyright / IP Policy.
BookCollar may remove content and may suspend or terminate repeat infringers.
19. Prohibited Conduct
You may not use the Platform to:
- Violate law
- Offer illegal services
- Offer prohibited services
- Misrepresent identity, qualifications, licensing, insurance, or affiliation
- Harass, threaten, stalk, abuse, or discriminate
- Commit fraud
- Avoid payment obligations
- Circumvent Platform fees
- Take transactions off-platform where prohibited
- Create fake accounts
- Post fake reviews
- Interfere with other users
- Upload malware
- Attempt unauthorized access
- Scrape or harvest data without permission
- Infringe intellectual property rights
- Violate privacy rights
- Engage in unsafe conduct
- Use the Platform for sexual services, controlled substances, weapons-related services, or other prohibited categories
- Offer regulated services without required licenses, permits, certifications, registrations, or approvals
- Violate any BookCollar policy
BookCollar may investigate and take action against suspected prohibited conduct, including warning users, removing content, removing listings, canceling bookings, pausing accounts, suspending accounts, terminating accounts, withholding payouts where permitted, reporting unlawful conduct, or taking legal action.
20. Prohibited and Restricted Services
BookCollar may prohibit or restrict certain services.
Services may be prohibited or restricted if they are:
- Illegal
- Unsafe
- Deceptive
- Sexually explicit or sexual in nature
- Related to controlled substances
- Weapons-related
- Hazardous
- Medical, health, childcare, elder care, legal, financial, tax, construction, or otherwise regulated without approval
- Requiring licenses, permits, certifications, insurance, or special approvals that the provider has not shown
- Involving minors in a manner that creates legal or safety concerns
- Otherwise inconsistent with Platform policy
BookCollar may remove or restrict any listing that BookCollar believes violates the Prohibited Services Policy or creates legal, safety, compliance, reputational, or operational risk.
21. Safety and In-Person Services
BookCollar connects users for in-person services. In-person services may involve risks, including personal injury, property damage, theft, harassment, unsafe conditions, misconduct, or disputes.
Users are responsible for using reasonable care when interacting with others, attending appointments, allowing others onto property, entering service locations, sharing information, and participating in in-person services.
Users should contact emergency services immediately in an emergency or if they believe there is an immediate threat to health, safety, or property.
BookCollar may provide safety reporting tools, but BookCollar is not a substitute for emergency services, law enforcement, medical providers, or other professional emergency resources.
Users agree to report safety incidents, serious misconduct, suspected fraud, or policy violations to BookCollar as soon as reasonably possible.
BookCollar may suspend, restrict, or terminate accounts, listings, or bookings where safety concerns exist.
22. Third-Party Services
The Platform may integrate with or link to third-party services, including payment processors, identity verification services, mapping tools, analytics services, hosting providers, communication tools, and other vendors.
BookCollar is not responsible for third-party services, websites, software, policies, or actions, except as required by applicable law.
Your use of third-party services may be governed by separate terms and privacy policies.
23. Platform Availability and Changes
BookCollar may add, remove, modify, suspend, or discontinue Platform features, workflows, policies, or services at any time.
BookCollar does not guarantee uninterrupted, secure, or error-free Platform availability.
Platform access may be interrupted by maintenance, updates, outages, security issues, third-party service failures, emergencies, or events outside BookCollar's control.
24. Privacy
BookCollar's collection, use, sharing, and protection of personal information is described in the Privacy Policy.
By using the Platform, you acknowledge that BookCollar may process information as described in the Privacy Policy.
The Platform may involve sharing certain information between customers and providers, including names, booking details, service details, location information, contact information, messages, reviews, and other information necessary to facilitate bookings and Platform operations.
25. Disclaimers
To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis.
BookCollar disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, reliability, security, and any warranties arising out of course of dealing or usage of trade.
BookCollar does not warrant that:
- The Platform will be uninterrupted or error-free
- The Platform will meet your expectations
- Listings will be accurate or complete
- Providers will be available, qualified, licensed, insured, or suitable for your needs
- Customers will complete bookings or payments
- Services will be performed safely, lawfully, professionally, or satisfactorily
- Reviews will be accurate or reliable
- Any disputes will be resolved in your favor
No oral or written statement from BookCollar creates a warranty unless expressly stated in a written agreement signed by an authorized representative of BookCollar.
26. Limitation of Liability
To the fullest extent permitted by law, BookCollar and its owners, officers, directors, employees, contractors, agents, affiliates, successors, and assigns will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal inconvenience, emotional distress, or reputational harm, whether based on warranty, contract, tort, negligence, strict liability, statute, or any other legal theory.
To the fullest extent permitted by law, BookCollar's total liability arising out of or related to these Terms, the Platform, bookings, services, payments, disputes, user content, or interactions between users will not exceed the greater of:
1. The amount you paid to BookCollar in platform fees during the twelve months before the event giving rise to the claim; or
2. $100.
These limitations apply even if BookCollar has been advised of the possibility of damages.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, BookCollar's liability will be limited to the greatest extent permitted by law.
Nothing in these Terms is intended to limit liability where doing so is prohibited by law.
27. Indemnification
You agree to defend, indemnify, and hold harmless BookCollar and its owners, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any BookCollar policy
- Your violation of applicable law
- Your user content
- Your listings
- Your bookings
- Your services
- Your communications with other users
- Your fraud, negligence, willful misconduct, or unlawful conduct
- Your violation of another person's rights
- Your failure to maintain required licenses, permits, certifications, registrations, insurance, or legal qualifications
- Your tax obligations
- Your payment disputes or chargebacks, where applicable
- Any injury, property damage, loss, or dispute arising from your conduct or services
BookCollar reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with BookCollar's defense.
28. Suspension, Restriction, and Termination
BookCollar may investigate suspected violations of these Terms, Platform policies, law, safety standards, payment rules, or provider requirements.
BookCollar may suspend, restrict, pause, or terminate your account, listings, bookings, messaging access, payout access, or other Platform features if BookCollar believes it is reasonably necessary to:
- Protect users
- Protect BookCollar
- Prevent fraud
- Prevent unlawful conduct
- Enforce policies
- Address safety concerns
- Address payment disputes
- Address chargebacks
- Address expired, invalid, missing, or unverifiable provider licenses
- Address expired, invalid, missing, or unverifiable provider insurance
- Comply with law
- Comply with payment processor requirements
- Maintain Platform integrity
You may stop using the Platform at any time.
Termination or suspension does not affect obligations that by their nature should survive, including payment obligations, tax obligations, refund obligations, dispute obligations, indemnification obligations, liability limitations, intellectual property rights, and legal compliance responsibilities.
29. Changes to These Terms
BookCollar may update these Terms from time to time.
If changes are material, BookCollar may provide notice through the Platform, email, account notification, updated effective date, or other legally appropriate method.
Your continued use of the Platform after updated Terms become effective means you accept the updated Terms.
BookCollar may require you to affirmatively accept updated Terms before continuing to use certain Platform features.
30. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise.
31. Dispute Resolution
Before filing a legal claim, you and BookCollar agree to try to resolve disputes informally by contacting each other and providing a reasonable opportunity to resolve the dispute.

33. Miscellaneous
These Terms, together with the policies incorporated by reference, make up the agreement between you and BookCollar regarding use of the Platform.
If any part of these Terms is found unenforceable, the remaining parts will remain in effect to the fullest extent permitted by law.
BookCollar's failure to enforce a provision does not waive BookCollar's right to enforce that provision later.
You may not assign or transfer your rights or obligations under these Terms without BookCollar's prior written consent. BookCollar may assign or transfer its rights and obligations as part of a merger, acquisition, sale of assets, financing, restructuring, or by operation of law.
No person or entity other than you and BookCollar has rights under these Terms, except BookCollar's affiliates, officers, directors, employees, agents, and representatives may benefit from provisions intended to protect them.
